Welcome to ShoreKit. By using our platform, you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By registering for or using ShoreKit, you agree to be bound by these Terms. If you do not agree, please do not use our services. These Terms constitute a legally binding agreement between you and Goldenleafkorea Pte. Ltd..

2. Description of Service

ShoreKit provides a booking and management platform for coaches, instructors, and academy owners. We offer tools for scheduling, payments, student management, member portals, and related services. We reserve the right to modify, suspend, or discontinue any part of our services at any time.

3. Account Registration and Security

You must provide accurate, complete, and current information when registering. You are responsible for:

• Maintaining the security and confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that persons accessing our services through your account comply with these Terms

4. Free Trial and Subscription

• Free Trial: New users receive a 30-day free trial with full features
• After Trial: Paid subscription required to continue using non-free features
• Cancellation: You may cancel anytime — no long-term contracts or lock-in periods
• Billing: Fees are billed in advance on a monthly basis
• Refunds: No refunds for partial months, but you may cancel future billing cycles
• Price Changes: We will notify you at least 30 days in advance of any price changes

5. Payment Processing

We use Stripe for payment processing. Your financial information is never stored on our servers. By using paid features, you agree to Stripe's terms of service and privacy policy. All fees are in Singapore Dollars (SGD) unless otherwise specified. Fees are exclusive of Goods and Services Tax (GST) where applicable.

6. Acceptable Use Policy

You agree NOT to:

• Use the platform for any illegal purpose under Singapore law or applicable laws
• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with or disrupt the platform's functionality, security, or performance
• Harvest, collect, or scrape user data without express consent
• Upload malicious code, viruses, or harmful content
• Use our platform to send spam or unsolicited communications
• Infringe upon intellectual property rights of ShoreKit or third parties
• Impersonate any person or entity or provide false information

7. Data Ownership and Intellectual Property

Your Data: You retain full ownership of all data you input into ShoreKit. We do not claim ownership of your content, student data, or business information. You grant us a license to host, store, display, and transmit your data as necessary to provide our services.

Our IP: The ShoreKit platform, software, design, logos, trademarks, and content (excluding user data) are owned by Goldenleafkorea Pte. Ltd. and protected by Singapore and international intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works without our written consent.

8. Data Protection and PDPA Compliance

We comply with Singapore's Personal Data Protection Act (PDPA). Our collection, use, and disclosure of personal data is governed by our Privacy Policy. As a user, you agree to:

• Comply with PDPA when collecting or processing personal data of your students
• Obtain necessary consents from your students before sharing their data with us
• Implement appropriate security measures to protect personal data you access through our platform

9. Electronic Transactions

In accordance with the Electronic Transactions Act of Singapore, your use of our platform constitutes your agreement to conduct transactions electronically. Electronic records and signatures have the same legal effect as physical documents and handwritten signatures.

10. Marketing Communications

By providing your contact information, you consent to receive marketing communications from us. You may opt out at any time by:

• Clicking the "unsubscribe" link in our marketing emails
• Contacting our DPO at dpo@shorekit.com

Under the Spam Control Act of Singapore, we will process opt-out requests within 10 business days.

11. Cancellation and Termination

You may cancel your account at any time through your account settings or by contacting support. Upon cancellation:

• You will have 30 days to export your data
• After 30 days, your data will be anonymized or deleted
• No further fees will be charged

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

12. Limitation of Liability

To the maximum extent permitted by Singapore law:

• ShoreKit and Goldenleafkorea Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim
• We provide our services "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement

13. Indemnification

You agree to indemnify, defend, and hold harmless Goldenleafkorea Pte. Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of applicable laws (including PDPA)
• Your violation of any third-party rights

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, cyberattacks, or labour disputes.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShoreKit regarding our services, superseding any prior agreements.

19. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via:

• Email notification to the address associated with your account
• Notice on our website
• Platform notification for active users

Changes are effective 30 days after notice. Continued use of our services after changes constitutes acceptance of the modified Terms.
